Objectives: Most of the contracts have come to be on standard pre-given terms. Even when contracts are drafted afresh, the clauses on different aspects of the contract are standard, taken from different sources. The parties, invariably, only provide the specific details of the subject matter of the contract. Standardisation has become widespread as it hugely reduces transaction costs. In this context, towards successfully negotiating, stipulating and implementing contracts, managers need to be well versed with the foundation and significance of all aspects of contracts, they work with in contract documents.
