Negotiating & Managing Commercial Contracts

Overview: Negotiating, drafting and effective management of Commercial Contracts is a daunting task for any commercial negotiations, more so in the current context of globalisation and E-commerce.
In India also, several changes in the laws, rules, regulations and practices in commercial contracts are being implements For eg. VAT, currency convertibility, commercial terms, model contracts, e-contracts etc. This programme aims at familiarising executives in all relevant aspects of negotiating, drafting and management of commercial contracts through topic by topic exposition, self-instruction exercises, case studies, role play and query clarifications.

Objectives:

  • Understand the basics of commercial contracts and negotiating contracts

  • Getting an insight in drafting good commercial contracts

  • Negotiating skills in tackling risk perceptions

  • Understanding international commercial terms

  • Handling of over-seas project contracts, collaboration and joint-venture, etc.

  • Working knowledge on several special issues relating to commercial contracts such as negotiable instruments, payment and collection mechanism, Letters of credit, Damages, etc.

    For: Senior executives handling contracts, projects, finance, planning, costing, materials, imports, exports, collaboration, R&D, marketing, expansion, diversification.

    Contents:

  • Overview of commercial contracts and basic concepts

  • International commercial terms (INCOTERMS ICC)

  • Warranty, Guarantee, Condition, Essence, Performance, etc.

  • Force majeure, variations/escalations, Re-let, Risk purchase, hardship clauses

  • Practical issues on penalty, L.D., Arbitration, and dispute settlement

  • Contracts involving services

  • Contract Models: ICC, UNCITRAL, FIDIC etc.

  • Long-duration infrastructure contracts like BOOT, BOLT, BOO, LSTK, EPS, etc.

  • Large Construction Contracts, FIDIC guidelines, and handling of international contracts

  • Collaboration and Joint-venture contracts and Transfer Pricing Issues

  • Tax and forex issues related to contracts

  • Investment Risk Perceptions: Counter trade, Offsets, MIGA, etc
